The financial environment in the United Arab Emirates (UAE) has undergone a significant shift. Under UAE Corporate Tax, all businesses in all Emirates are now obliged at a minimum to actively manage their direct tax obligations under the framework of UAE Corporate Tax as per requirements of Federal Tax Authority UAE. From running an onshore business in Dubai to owning a startup in a Free Zone or freelancing individually, it’s crucial to grasp the registration and return filing process to ensure smooth business operations.

What is UAE Corporate Tax and Who Does It Apply To?

Under Federal Decree-Law No. 47 of 2022, the Federal Tax Authority (FTA) UAE has implemented a modern corporate income tax regime. The regime is designed to meet international financial standards and yet ensure that the business environment remains highly competitive, and is enforced generally in all business activities.

Taxable net income over AED 375,000 is subject to the UAE 9% Corporate Tax rate. The first AED 375,000 of profit is taxed at 0% to encourage growth of small business and early-stage entrepreneurship.

Mainland companies, LLPs and corporations incorporated in UAE are clearly within scope. There is also a corporate tax for Free Zone entities, in which a number of exemptions are applied for qualifying activities. In the case of individuals and sole proprietors, corporate tax will apply where the annual business turnover arising from commercial activities is AED 1 million or more. Foreign entities are subject to tax if they have a PE in the UAE or have taxable nexus in the UAE. While many types of income are not considered corporate income, the income from banking interest, dividends, or personal real estate investments is still not included in the definition of corporate income.

Federal Tax Authority UAE Registration Timelines & Deadlines

In the UAE, all business activities, including those with no taxable income, are required to register for Corporate Tax with the UAE Federal Tax Authority and get a Corporate Tax Registration Number (UAE CTRN). If a trade license is issued, there is an immediate obligation to complete tax registration.

Incorporated or established UAE Resident companies need to register within 3 months of the issuance of their trade license. The non-resident entities will have to register within 6 months of establishing a PE. Any natural person doing commercial activities shall be registered by 31st March of the subsequent calendar year after turning over AED 1 million.

Administrative Late Registration Penalty is AED 10,000 directly from Federal Tax Authority UAE in the UAE for non-compliance of the mandatory registration deadlines.

Step-by-Step: How to Register via the EmaraTax Portal

The UAE Federal Tax Authority (FTA) has introduced a digital platform called EmaraTax that serves as a one-stop platform for all tax-related services, including VAT and Corporate Tax management. In preparation, make sure to have key documents ready such as a valid Trade License copy, passports and Emirates IDs of all authorized signatories, proof of authorization, and financial statements.

First step: Visit the official EmaraTax website online and sign in with your registered account or UAE PASS details. Then, click on Corporate Tax Registration under your account dashboard. Follow up with entity profiling: choose your legal entity type, submit trade license details. Once owners and managers information is entered and financial year dates are specified, check the application, add owner and manager’s identity documents and submit to the Federal Tax Authority UAE for approval.

Upon approval, the portal issues an official corporate tax registration certificate with your 15-digit Corporate Tax Registration Number (CTRN).

Tax Rates, Exemptions & Small Business Relief

Knowing how tax calculations work helps you make sure your business isn’t attracting any red flags with compliance while avoiding any reliefs for which you may be eligible. The tax rate on the net income above AED 375,000 is 9% and below AED 375,000 is 0%.

Free Zone companies are not subject to corporate tax but can qualify for a 0% tax rate on Qualifying Income if they satisfy the Qualifying Free Zone Person criteria. This encompasses the need to keep sufficient substance in the Free Zone, generate income from eligible activities and ensure financial statements are audited. The non-qualifying income generated from commercial business activities on the mainland is taxed as usual at 9%.

Small Business Relief provides substantial administration relief to qualifying resident tax payers whose revenue is no more than AED 3 million. The entities that are eligible for this relief are considered to have no taxable income for the tax period and they are required to register and file a simplified tax return on the portal.

Annual Corporate Tax Return Filing & Compliance

All registered entities must file an annual return, even if there has been no income or tax liability for the entity during the year.

UAE Federal Tax Authority UAE allows taxpayers to submit their tax returns and pay any taxes due to the Federal Tax Authority within nine months of the end of their financial year. The return filing and payment deadline for calendar year entities that operate from January 1 through December 31, is September 30 of the next year. Entities with a mid-year financial year, e.g. April 1 to March 31, have a filing and payment deadline of December 31 of the subsequent year.

Good compliance involves keeping detailed accounting records and bookkeeping for no less than seven years. Non-deductible expenses must also be correctly reallocated into taxable profits and if running as a Free Zone entity seeking 0% or subject to applicable statutory size requirements then tax audited financial accounts should be prepared. .
